Vault Technologies Terms of Use

Effective Date: October 15, 2026

These Terms of Use (“Terms”) govern your access to and use of the websites, online resources, assessments, reports, videos, forms, and other publicly available digital content operated or provided by Vault Technologies LLC (“Vault Technologies,” “Vault,” “we,” “us,” or “our”).

By accessing or using our website or publicly available digital resources, you agree to these Terms. If you do not agree with these Terms, please do not use the website or related resources.

These Terms apply to public website use only. They do not replace or modify any Master Services Agreement, Statement of Work, Business Associate Agreement, subscription agreement, professional-services agreement, or other written agreement between Vault Technologies and a customer or business partner. If a separate written agreement conflicts with these Terms, the separate written agreement controls for the services covered by that agreement.

1. About Vault Technologies

Vault Technologies LLC is an Oregon-based technology company providing healthcare technology advisory, managed IT, cybersecurity, technology assessment, planning, education, and related services.

Information provided through this website is intended primarily for businesses, healthcare organizations, professionals, prospective clients, and business partners.

2. Informational and Educational Purpose

Content on this website is provided for general informational and educational purposes.

Website content, reports, videos, assessments, articles, graphics, downloadable resources, and other materials are not intended to constitute:

  • Legal advice
  • Medical or clinical advice
  • Accounting advice
  • Tax advice
  • Insurance advice
  • Regulatory advice
  • Formal compliance certification
  • A cybersecurity guarantee
  • A guarantee of business, financial, operational, or technology outcomes

You should consult an appropriately qualified professional when advice is required for your particular circumstances.

Vault Technologies does not guarantee that following any recommendation, checklist, report, assessment result, or educational resource will make an organization compliant with HIPAA, another law or regulation, an insurance requirement, a contractual obligation, or any particular cybersecurity framework.

3. No Client Relationship Created by Website Use

Accessing this website, downloading a resource, completing an assessment, submitting a form, watching a video, corresponding with Vault Technologies, or scheduling an introductory consultation does not by itself create a client, fiduciary, advisory, managed-service, or other professional relationship.

A professional services relationship is established only when Vault Technologies and the applicable customer enter into an appropriate written agreement.

4. Business Technology Assessment

Vault Technologies may provide a Business Technology Assessment or similar self-assessment tools to help organizations identify potential technology risks, priorities, or areas for further review.

Assessment results are based on information provided by the user and may rely on simplified questions, scoring methods, assumptions, or automated processing.

Assessment results:

  • Are informational
  • Are not a complete technical audit
  • Are not a penetration test
  • Are not a formal security-risk analysis unless expressly identified as such in a separate written agreement
  • Are not a certification of HIPAA or other regulatory compliance
  • Do not guarantee that all risks, vulnerabilities, or deficiencies have been identified
  • Should not be relied upon as the sole basis for significant technology, security, financial, legal, or compliance decisions

Vault Technologies may recommend further investigation before making material technology decisions.

5. No Protected Health Information or Sensitive Credentials

Unless Vault Technologies has expressly established an appropriate secure method and written agreement for doing so, you must not submit sensitive information through public website forms, public assessments, social-media forms, email forms, or other general-purpose website features.

Do not submit:

  • Protected health information (PHI)
  • Patient records
  • Patient names or identifiers
  • Medical information
  • Passwords
  • Authentication codes
  • Security keys
  • Access credentials
  • Social Security numbers
  • Payment-card information
  • Private encryption keys
  • Other highly sensitive or regulated information

If sensitive information is required as part of contracted services, Vault Technologies will establish appropriate methods and safeguards separately.

6. Accuracy and Currency of Information

Vault Technologies makes reasonable efforts to provide useful and accurate information. However, technology, cybersecurity threats, laws, regulations, vendor products, funding programs, pricing, standards, and industry practices can change rapidly.

We do not warrant that all website content will always be complete, current, accurate, or applicable to every organization.

Dates, product names, features, pricing, program availability, eligibility criteria, technical recommendations, and external requirements should be independently confirmed before making material decisions.

Vault Technologies may update, modify, correct, or remove content at any time without prior notice.

7. Funding and Financial Information

Vault Technologies may provide educational information about grants, financing programs, incentives, funding opportunities, budgeting strategies, or other resources that may help organizations plan technology investments.

Unless expressly stated otherwise in a separate written agreement:

  • Vault Technologies is not a lender
  • Vault Technologies is not a financial adviser
  • Vault Technologies does not guarantee eligibility
  • Vault Technologies does not guarantee funding availability
  • Vault Technologies does not guarantee approval or award
  • Funding programs may change, close, expire, or modify their requirements without notice

Users should verify current eligibility, application requirements, permitted uses, deadlines, and terms directly with the applicable funding authority, lender, program administrator, or qualified adviser.

8. Intellectual Property

Unless otherwise stated, the website and original materials created by Vault Technologies—including text, reports, assessments, graphics, videos, documentary content, branding, logos, downloadable resources, layouts, and other original content—are owned by or licensed to Vault Technologies and are protected by applicable intellectual-property laws.

“Vault Technologies,” the Vault Technologies logo, the Vault Healthcare Technology Documentary™, Executive Technology Brief™, and other Vault names, marks, product names, or branding may be trademarks, service marks, trade names, or proprietary identifiers of Vault Technologies.

Third-party names, trademarks, images, videos, software, and other materials remain the property of their respective owners.

Nothing in these Terms transfers ownership of Vault Technologies intellectual property to you.

9. Permitted Use of Website Content

You may:

  • View publicly available website content
  • Download resources that Vault expressly makes available for download
  • Print reasonable portions of materials for your own personal or internal business use
  • Share links to publicly accessible Vault Technologies webpages

Unless Vault Technologies gives you prior written permission, you may not:

  • Republish substantial portions of Vault content
  • Sell, license, sublicense, or commercially redistribute Vault content
  • Remove copyright, trademark, attribution, or proprietary notices
  • Present Vault content as your own
  • Modify Vault materials in a way that falsely implies Vault approval or authorship
  • Use Vault reports, assessments, graphics, videos, or documentary material to create competing commercial products
  • Scrape, harvest, systematically copy, or automatically extract substantial website content except as permitted by applicable law

Reasonable quotations and references are permitted when properly attributed and otherwise lawful.

10. Acceptable Use

You agree not to use the website or Vault Technologies digital resources to:

  • Violate applicable law or regulation
  • Infringe another person’s rights
  • Submit fraudulent, misleading, unlawful, or malicious information
  • Attempt unauthorized access to Vault systems or accounts
  • Introduce malware, malicious code, or harmful files
  • Interfere with website operation or security
  • Probe, scan, or test systems for vulnerabilities without authorization
  • Attempt to bypass access controls
  • Impersonate another person or organization
  • Harvest personal information without authorization
  • Use automated systems in a manner that materially disrupts the website
  • Use Vault content in connection with unlawful, deceptive, or harmful activities

Vault Technologies may restrict or terminate access to website features when reasonably necessary to protect its systems, users, business, or legal interests.

11. Information You Submit

When you submit information through a website form, assessment, consultation request, lead-generation form, or similar feature, you represent that the information is accurate to the best of your knowledge and that you have authority to provide it.

Information submitted through general website features should not be considered confidential unless Vault Technologies has expressly agreed otherwise in writing.

Our collection and use of personal information is described in the Vault Technologies Privacy Policy:

https://www.vaulttechnologies.tech/privacy-policy

12. Third-Party Websites and Services

The Vault Technologies website may link to or integrate with third-party websites, platforms, applications, scheduling systems, social-media services, video providers, cloud services, or other resources.

Third-party services are governed by their own terms and privacy practices.

Vault Technologies does not control and is not responsible for:

  • Third-party website availability
  • Third-party security practices
  • Third-party privacy practices
  • Third-party content
  • Third-party products or services
  • Changes made by third-party providers

A link or reference to a third party does not necessarily constitute endorsement.

13. Third-Party Products and Vendors

Vault Technologies may discuss, recommend, demonstrate, integrate, or reference technology products, software, services, or vendors.

Unless specifically disclosed otherwise, such references do not imply that Vault Technologies guarantees the product, vendor, security, availability, suitability, performance, or continued operation of that third-party offering.

Technology recommendations should be evaluated in the context of the organization’s specific requirements.

14. Website Availability

Vault Technologies may modify, suspend, restrict, discontinue, or remove any portion of the website or its publicly available services at any time.

We do not guarantee that:

  • The website will always be available
  • Access will be uninterrupted
  • Website functionality will be error-free
  • Files will always remain available
  • Content will remain unchanged
  • Third-party integrations will continue operating

Temporary outages, maintenance, technical failures, security measures, or third-party disruptions may affect availability.

15. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the website and publicly available content are provided on an “as is” and “as available” basis.

Vault Technologies makes no express or implied warranties regarding the website or publicly available content, including warranties of merchantability, fitness for a particular purpose, noninfringement, accuracy, availability, security, or suitability.

Nothing in this section limits obligations that Vault Technologies expressly accepts under a separate written customer agreement.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Vault Technologies and its owners, officers, employees, contractors, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the use of, inability to use, or reliance upon the public website or publicly available content.

This includes, where permitted by law, damages involving:

  • Lost profits
  • Lost revenue
  • Lost opportunities
  • Business interruption
  • Data loss
  • Technology disruption
  • Loss of goodwill
  • Decisions made in reliance on informational website content

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

Liability relating to contracted professional services is governed by the applicable written customer agreement rather than this website Terms of Use document.

17. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Vault Technologies LLC and its owners, officers, employees, contractors, and representatives from claims, damages, losses, liabilities, and reasonable expenses arising from:

  • Your unlawful use of the website
  • Your material violation of these Terms
  • Your infringement of another person’s rights
  • Information or materials you submit unlawfully through the website

This section does not apply to the extent a claim results from Vault Technologies’ own conduct for which liability cannot legally be shifted.

18. Security

Vault Technologies takes reasonable measures intended to protect its website and systems, but no website or internet transmission can be guaranteed completely secure.

You are responsible for maintaining the security of your own devices, accounts, credentials, internet connections, and systems when accessing online resources.

If you believe a Vault Technologies website or online resource has a security vulnerability, contact us rather than attempting unauthorized testing.

19. Copyright and Intellectual-Property Concerns

If you believe material appearing on a Vault Technologies website infringes your copyright or other intellectual-property rights, contact us with sufficient information to identify:

  • The protected work
  • The allegedly infringing material
  • Where the material appears
  • Your contact information
  • The basis for your claim

Vault Technologies will review good-faith intellectual-property concerns and take appropriate action when warranted.

20. Changes to These Terms

Vault Technologies may update these Terms as its website, services, technology, business practices, or legal obligations change.

When material changes are made, the effective date shown at the top of this page will be updated.

Your continued use of the website after revised Terms are posted constitutes acceptance of the revised Terms to the extent permitted by applicable law.

For material transactions or services requiring affirmative agreement, Vault Technologies may require separate acceptance rather than relying solely on continued website use.

21. Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles, except where applicable federal law or another mandatory law controls.

Any dispute relating solely to these Terms or public website use will be subject to the jurisdiction of courts having lawful jurisdiction in Oregon, unless the parties have agreed otherwise in a separate written agreement.

22. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

23. No Waiver

Failure by Vault Technologies to enforce a provision of these Terms does not waive the right to enforce that provision later.

24. Entire Terms for Public Website Use

These Terms, together with the Vault Technologies Privacy Policy and any notices expressly incorporated by reference, constitute the terms governing general use of the public Vault Technologies website.

Separate written agreements govern paid services, customer relationships, partnerships, and other contractual engagements.
